1. Acceptance of Terms

Welcome to Dynamanic LLC ("Company", "we", "us", or "our"). By accessing or using our CaseLens (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

These Terms apply to all users of the Service, including without limitation users who are browsers, vendors, customers, merchants, and/or contributors of content.

2. Description of Service

The Service is a cloud-based electronic discovery platform that provides:

• Document ingestion, processing, and analysis
• Advanced search and review capabilities
• AI-powered document analysis and coding assistance
• Production and export functionality
• Collaboration and workflow management tools
• Legal hold management
• Audit trail and compliance reporting

3. Account Registration and Security

3.1 Account Creation

To use the Service, you must create an account. You agree to:
- Provide accurate, current, and complete information
- Maintain and update your information to keep it accurate
- Keep your password confidential and secure
- Notify us immediately of any unauthorized access

3.2 Account Responsibility

You are responsible for all activities that occur under your account. You may not:
- Share your account credentials with others
- Use another person's account without permission
- Create accounts for automated use without our permission

4. Subscription and Payment

4.1 Subscription Plans

Access to the Service requires a paid subscription. Available plans include:
- Starter: For small teams and matters
- Professional: For mid-sized organizations
- Enterprise: For large organizations with advanced needs

4.2 Payment Terms

• All fees are quoted in US Dollars unless otherwise specified
• Subscriptions are billed in advance on a monthly or annual basis
• Usage-based charges (storage, processing, AI) are billed monthly in arrears
• All fees are non-refundable except as required by law

4.3 Price Changes

We may change our prices at any time. Price changes will be communicated at least 30 days in advance and will apply to subsequent billing periods.

5. Data and Privacy

5.1 Your Data

You retain all rights to data you upload to the Service ("Customer Data"). You grant us a limited license to process Customer Data solely to provide the Service.

5.2 Data Security

We implement industry-standard security measures including:
- Encryption at rest and in transit (AES-256, TLS 1.3)
- Access controls and authentication
- Regular internal security reviews
- Security controls aligned to the SOC 2 Type II framework (an independent SOC 2 audit has not yet been completed)
- Optional Business Associate Agreement for HIPAA-regulated workloads

5.3 Data Retention

Upon termination of your subscription:
- You have 30 days to export your data
- After 30 days, data will be deleted within 90 days
- Deletion certificates are available upon request

6. Acceptable Use

You agree not to use the Service to:
- Violate any applicable laws or regulations
- Infringe on intellectual property rights
- Upload malicious software or harmful content
- Attempt to gain unauthorized access to systems
- Interfere with the Service's operation
- Engage in any activity that disrupts other users

7. Intellectual Property

7.1 Our Property

The Service, including its software, design, and documentation, is owned by Dynamanic LLC and protected by intellectual property laws.

7.2 License Grant

We grant you a limited, non-exclusive, non-transferable license to use the Service during your subscription term.

7.3 Feedback

If you provide feedback about the Service, we may use it without obligation to you.

8. Confidentiality

8.1 Mutual Confidentiality

Both parties agree to protect confidential information received from the other party using the same degree of care used to protect their own confidential information.

8.2 Exclusions

Confidentiality obligations do not apply to information that:
- Is publicly available
- Was known prior to disclosure
- Is independently developed
- Is disclosed with consent

9. Disclaimers and Limitations

9.1 Service "As Is"

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

9.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DYNAMANIC LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, REGARDLESS OF THE CAUSE OF ACTION.

9.3 Cap on Liability

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNTS PAID BY YOU IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

10. Indemnification

You agree to indemnify and hold harmless Dynamanic LLC and its affiliates from any claims, damages, or expenses arising from:
- Your use of the Service
- Your violation of these Terms
- Your violation of any third-party rights

11. Term and Termination

11.1 Term

These Terms remain in effect while you use the Service.

11.2 Termination for Convenience

Either party may terminate with 30 days written notice at the end of the current subscription term.

11.3 Termination for Cause

We may suspend or terminate your access immediately if you:
- Violate these Terms
- Fail to pay fees when due
- Engage in illegal activity

11.4 Effect of Termination

Upon termination:
- Your right to use the Service ends
- You must pay any outstanding fees
- Provisions that should survive will survive (e.g., confidentiality, limitation of liability)

12. Dispute Resolution

12.1 Governing Law

These Terms are governed by the laws of State of Delaware, United States.

12.2 Arbitration

Any disputes shall be resolved through binding arbitration in accordance with the AAA Commercial Arbitration Rules.

12.3 Class Action Waiver

You agree to resolve disputes on an individual basis and waive the right to participate in class actions.

13. General Provisions

13.1 Entire Agreement

These Terms constitute the entire agreement between you and Dynamanic LLC regarding the Service.

13.2 Modifications

We may modify these Terms at any time. Material changes will be communicated 30 days in advance.

13.3 Waiver

Our failure to enforce any right does not waive that right.

13.4 Severability

If any provision is found unenforceable, the remaining provisions remain in effect.

13.5 Assignment

You may not assign these Terms without our consent. We may assign our rights to an affiliate or successor.
